These Terms and Conditions (“Agreement”) govern all services provided by VexoWeb Studio (“we”, “our”, “us”), including but not limited to website design, development, hosting, SEO, and maintenance. By placing an order or using our services, you (“Client”, “you”, “your”) agree to be bound by the following terms.

1. General Conditions

• VexoWeb Studio operates as a professional web design and digital service provider.

• All services are provided on a project-based or subscription model as stated in the invoice or WHMCS order form.

• We reserve the right to refuse service to anyone for any reason at any time.

• Communication is primarily conducted via email or our client portal for transparency and record-keeping purposes.

2. Project Scope & Deliverables

• All project details, timelines, and deliverables will be clearly defined in the initial proposal or invoice.

• Any modification to the original scope (extra pages, new functionalities, integrations, or design revisions beyond the agreed limit) will be considered an additional service and billed separately.

• Unless otherwise agreed, our design packages include:

  • Responsive web design

  • CMS installation (WordPress or custom platform)

  • Basic on-page SEO setup

  • Connection with hosting and domain

• Delivery time depends on the Client’s timely feedback and provision of required materials (text, logos, images, etc.). Delays in client response may extend delivery deadlines.

3. Payments

• All payments are processed securely via Stripe, PayPal, Credit/Debit Card, or Crypto (USDT/USDC/BTC).

• A deposit of 100% is required prior to work commencing, unless otherwise stated.

• The remaining balance must be paid upon completion or before the website launch.

• Hosting, domains, and maintenance services are billed automatically on a recurring basis each term (monthly or annually).

• Late payments beyond 7 days may result in service suspension until payment is received.

4. Refund Policy

• Due to the digital and custom nature of our work, all payments are non-refundable once the project has started.

• Refunds may be considered only if no design or development work has been initiated within 7 days of payment.

• Setup fees, domain registrations, SSL certificates, and third-party licenses are strictly non-refundable.

5. Ownership & Intellectual Property

• Upon full payment, the Client owns the final design, text, and media provided specifically for their project.

• All underlying code, proprietary scripts, or design frameworks developed by VexoWeb remain our intellectual property unless stated otherwise.

• We reserve the right to showcase completed projects in our portfolio and marketing materials.

6. Content Responsibility

• The Client is responsible for providing all website content (text, images, and other assets) unless content creation is included in the selected package.

• The Client guarantees that all materials provided are legally owned and do not infringe upon copyrights, trademarks, or any other third-party rights.

• VexoWeb is not responsible for any copyright violations or damages resulting from client-submitted content.

7. Hosting & Maintenance

• Hosting plans include server uptime, backups, SSL, and limited technical support as described in the selected package.

• Maintenance and SEO Care Plans (Care Basic, Plus, Pro, etc.) are optional add-on subscriptions.

• Failure to renew hosting or maintenance services may lead to suspension or permanent data deletion after 30 days.

8. Revisions & Approvals

• All projects include a defined number of revision rounds (usually 2–3).

• Additional revisions or major redesigns beyond the included limit will be charged at our standard hourly rate.

• Final approval from the Client constitutes project completion. Any subsequent requests are treated as a new phase or service.

9. Liability & Warranty

• VexoWeb Studio shall not be liable for any loss, damage, or downtime resulting from server issues, external attacks, or third-party integrations.

• While we ensure the site is secure and optimized at delivery, we cannot guarantee absolute protection against hacking, malware, or unforeseen software conflicts.

• Our liability is limited to the amount paid by the Client for the specific service.

10. Termination

• Either party may terminate the Agreement with written notice.

• If the Client cancels before completion, all work performed up to that date remains billable and payable immediately.

• Repeated late payments or abuse of support resources may result in permanent account termination.

11. Confidentiality

All data, credentials, and business information shared between the Client and VexoWeb are treated as confidential and will not be disclosed to third parties, except as required by law.

12. Acceptance of Terms

By submitting payment or approving the project quote, the Client acknowledges having read, understood, and agreed to these Terms and Conditions in full.
